and you (an individual or an entity, referred to as “you” or “Customer”), governing your access to

● Authorized User: A person authorized by the Customer to access the Services on the Customer’s behalf.
● Customer Data: All data uploaded, submitted, or otherwise transmitted by Customer or its Authorized Users while using the Services.
● Client Software: Software provided by Ubiqedge to access the Services.
● Service Period: The subscription term for which access to services has been purchased.
● Platform: Ubiqedge’s suite of cloud-based and edge-based IoT products and services.
3. ELIGIBILITY: Use of the Website and Services is permitted only by individuals legally capable of forming binding contracts under Indian law. Minors and individuals lacking capacity must have parental/legal guardian consent.
4. LICENSE GRANT: Subject to your compliance and payment of applicable fees, Ubiqedge grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services during the applicable Service Period for your internal business purposes.
5. CUSTOMER RESPONSIBILITIES

You agree to:
● Maintain accurate account information.
● Keep login credentials confidential.
● Comply with applicable laws.
● Use services only for lawful business activities.
● Be responsible for all activities conducted under your accounts.
6. FEES & PAYMENTS 6.1 Fees are billed as per your selected plan and usage. All fees are non-refundable unless agreed to in writing.
6.2 Payments must be made on time to avoid suspension or termination of services.
6.3 All applicable taxes (including GST) are your responsibility.
7.1 This Agreement remains in effect until terminated. You may terminate by providing a 30-day written notice. Ubiqedge may terminate with or without cause, including for non- payment or breach.
7.2 Upon termination:
● You must cease use of the services.
● We may delete your customer data unless legally obligated to retain it.
● Outstanding fees must be paid immediately.
You retain ownership of your customer data but grant Ubiqedge the right to use it solely to operate, maintain, and improve the services.
You agree not to:
● Resell, sublicense, or distribute services.
● Reverse engineer or attempt to extract source code.
● Interfere with or disrupt the Services.
● Use the Services to violate any laws, infringe IP, or transmit harmful content.
10. CONFIDENTIALITY
11. DISCLAIMER: Both parties agree to maintain the confidentiality of each other’s proprietary or confidential information and will not disclose it to third parties, except as required by law or with prior written consent.
12. LIMITATION OF LIABILITY: To the extent permitted by law, Ubiqedge’s total liability shall not exceed the fees paid by you in the preceding three (3) months. Ubiqedge shall not be liable for indirect, incidental, consequential, or punitive damages.
13. THIRD-PARTY SERVICES: Ubiqedge may link to or integrate third-party services. We are not responsible for their content, data practices, or policies. Use them at your own risk.
14. INDEMNIFICATION

12. LIMITATION OF LIABILITY: To the extent permitted by law, Ubiqedge’s total liability shall not exceed the fees paid by you in the preceding three (3) months. Ubiqedge shall not be liable for indirect, incidental, consequential, or punitive damages.
14. INDEMNIFICATION
You agree to indemnify and hold harmless Ubiqedge and its officers, directors, and employees from any claims, damages, liabilities, and costs arising out of:
● Your use or misuse of the services.
● Your violation of applicable laws or third-party rights.
● Any breach of this Agreement.
15. MODIFICATIONS: Ubiqedge may update these terms at any time. Updated versions will be posted on our website. Continued use of the Services constitutes acceptance of the modified Terms.
